1. Acceptance of Terms

By creating an account or using the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter contracts under Indian law, and agree to these Terms.

2. Description of Service

ApprovalDesk provides a SaaS platform for creative agencies to manage client approvals, file reviews, feedback, and project workflows. Services are provided on a subscription basis.

3. User Obligations

Maintain the confidentiality of your account credentials
Use the Platform only for lawful purposes
Not upload any content that infringes third-party intellectual property rights
Not attempt to reverse-engineer, hack, or disrupt the Platform
Comply with all applicable Indian laws including IT Act 2000 and its amendments

4. Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of Umiya Innovations. Content you upload remains your property; you grant us a limited license to process and display it to provide the Service.

5. Subscription and Payment

Subscriptions are billed in advance. Payments are processed through Razorpay. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.

6. Limitation of Liability

To the maximum extent permitted by Indian law, ApprovalDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by you in the last 3 months.

7. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in [Your City], India.
